Regulation S allows companies to raise capital from non-U.S. investors without registering the offering with the SEC. Primarily for non-U.S. investors, regardless of their accredited status. Mostly for offerings outside the United States. Capital Raise Limit: No specific limit on the amount of capital a company can raise, but offerings must be made outside the United States. Disclosure Requirements: Requires less extensive disclosure than Reg A or Reg D, but still requires compliance with certain rules.
