My guest for Episode 108 of The Startup Playbook Podcast is one of the Directors of Coghlan Duffy & Co, John Coghlan.

I have had a number of conversations with founders over the years discussing some of the more structural and often internal challenges of running companies such as dealing with co-founder breakups, issues with IP when a team member has left or they have outsourced their development and structural issues that have caused investors to not invest in their companies.

So for this episode, I invited John Coghlan on the show to discuss how founders can think about and safeguard against some of these issues down the line.

John is one of the Director of Coghlan Duffy & Co, a law firm that specialises in working with startups from the early stages to their potential IPO. He has been involved with the legal aspect of startups from all angles, representing founders as they setup and grow their business, investors through the due diligence process as well as helping companies prepare and eventually list on the public markets. He is also someone I have known for over 5 years and he has personally helped me both with personal and business legal matters so I couldn’t think of anyone better to have on this episode!

In this episode we discussed:

Protecting ownership of IP when outsourcing technology overseasHow to split equity fairly between cofoundersMechanisms to protect the company post founder-breakupThe investor due diligence check listHow to fairly value a company when raising capital

Ps – I just launched Playbook Ventures and our first initiative, the “Investor Connect” event where we are bringing together 20 of the best VCs and Angel Investors to meet with 60 selected startups. To find out more:– Read the blog post– Check out our website (playbookventures.com.au)– Apply for the event
